Holiday Hideaway Association Meeting
April 30, 2010

The meeting of the HHA Board was called to order by president Sharon Schlittenhard at  11:05.  Present were Sharon Schlittenhard, Anne Casperson, Kit Harma, Gerry Francis, Dave Mckibben, Laura  Saunders.  Absent Mike Jackets. 


1.    We discussed issues that had  been raised at the annual meeting about claims for water rights dating back to before the water company was formed.  We agreed that if this is pursued in writing, a letter would be written to the individual outlining how he might resolve this with the Terranas.  If his name was inadvertently left off the list provided to us when we bought the company he would need to pay all back fees and assessments.

2.    July 4th retaining an off duty county sheriff's officer at Cook's Cove.  Fee is $75/hour, plus ferry fee.   Notification to residents should be included with water bills to the effect that  fireworks will not be tolerated in the  Hideaway  because of personal safety, destruction of property, and fire danger --- and  that we intend to hire an off duty policeman to patrol Cook's Cove.  David McKibben will pursue this with Skagit County.  Put in Guemes Tide newspaper and on Linetime.  Sharon will follow up with Gipoa to see if they are interested in joining forces.

We agreed not to have a  Porta Potty at the cove this year --- passed 5 to 1. 

Post that supports gate needs to be replaced (David will do this) as well as securing the sign.

3.    Getting Gerry Francis certified to operate the water company (he can't do the engineering or administrative work).  He is taking on-line course, when complete he can be an operator in training.  Either HHA or the Water Company will pay for training materials and license fee for Gerry.  Mark will stay on for engineering, oversight and writing the policies and comprehensive plan.  Mike and Kit should also be paid, and covered under L&I.  Darcey need to see if they can be covered under our existing L&I coverage. 

The Board authorized resetting Gerry's pay rate  and making it retroactive to April, when he receives certification.


4.    The  new water shares that will be created when the comprehensive plan is approved will be sold before existing shares can be sold. 

We will need to tell water company share owners about the prospective sale.    We will include some mention of this in the Waterspout that needs to go out before July 1.

5.    The board also agreed to establish  a non-refundable minimum fee to stay on list  for shares, with a 60 day deadline to respond.  The fee will apply to price of water share.

6.    What is going to happen to HHA?  Given what we saw at annual meeting, probably won't be able to dissolve HHA or pass a 12th covenant.  We are continuing the discussion of separating the water company from HHA.  Need to establish how many landowners in the Hideaway do not have water shares.  Since we have had no response from Philip Buri on the questions we  asked we voted to terminate the relationship and look to retain Paul Taylor as the lawyer for the water company.

7.    If HHA were to dissolve we would need to decide on the disposition of HHA common properties

8.    Sharon has asked Mark what he thinks about separating water company and hiring Paul Taylor to explore separation.

9.    We discussed a replacement for Mike Jackets for Board member as well as someone to take on the treasurer functions.  Sharon will pursue this and bring suggestions to the next meeting.

10.    Meeting was adjourned at 1:15.
